Indemnity
Under no circumstances, including, but not limited to, negligence, will TGG be liable for any damages arising out of your use of any TGG website(s), Content, products, or services made available on or the through TGG website(s), including indirect, incidental, special, punitive, exemplary or consequential damages, even if TGG is advised beforehand of the possibility of such damages.
You agree to indemnify and hold harmless TGG, its affiliates, its financial supporters, founder(s), editor(s), and any agents, representatives, licensors, successors and assigns from and against any and all losses, expenses, damages and costs, including reasonable attorneys’ fees, that arise out of your use and or consumption of the Content made available by TGG.
YOU FURTHER AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS, TGG, ITS PARENT AND/OR AFFILIATED COMPANIES, AND EACH OF THEIR RESPECTIVE PARTNERS, SUPPLIERS, LICENSORS, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS AND AGENTS, FROM ANY AND ALL CLAIMS (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DEFAMATION, ERRORS AND OMISSIONS, TRADE DISPARAGEMENT, PRIVACY AND INTELLECTUAL PROPERTY INFRINGEMENT) AND DAMAGES (INCLUDING ATTORNEYS’ FEES AND COURT COSTS) ARISING FROM OR RELATING TO ANY ALLEGATION REGARDING YOUR USE OF ANY TGG OR AFFILIATE WEBSITE OR TGG’S USE OF ANY CONTENT OR INFORMATION YOU PROVIDE OR IS AVAILABLE THROUGH ANY VALID SOURCE, WHETHER AVAILABLE PUBLICLY OR NOT
Governing Law
This agreement will be governed by and construed in accordance with the laws of the state of Maryland and Baltimore County, without giving effect to any principles of conflicts of law. By using any TGG website, you consent to the exclusive jurisdiction and venue of the state and federal courts therein for all disputes arising out of or relating to this agreement or use or consumption of any TGG website or Content. Any claim arising from the use of a TGG website or consumption of any TGG Content must be made within 30 days of the event giving rise to any such claim. You agree to waive any claim or rights or perceived rights per the Indemnities and Limitations of Liabilities set forth herein. If for any reason any provision of this Agreement is found to be unenforceable by a court or other governing body sanctioned by TGG, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties as reflected in that provision. The remainder of the Agreement shall continue in full force and effect in such cases.
No Waiver
If TGG fails to enforce any provisions of the Terms and Conditions or fails to respond to a claim by you or any party relating to any matter, TGG shall not in any way waive its rights to subsequently enforce any terms or conditions of the Terms and Conditions or to act within its rights as set forth.
Entire Agreement
Unless otherwise specified, the Terms and Conditions set forth herein constitute the entire agreement between you and TGG and govern your use of and TGG website(s) and Content.
